Working guidelines
Prepared for
How a job with us runs, what you may use, and what stays with Agents in Motion LLC.
Plain rules for a paid job. The services agreement is what both sides sign. If these pages and that agreement ever differ, the agreement wins.

Have counsel read this before signing.
01
We start when a statement of work is signed and the start payment has arrived. A call, a message, or a proposal is not a statement of work.
The statement of work names the work, the price, and the dates. These guidelines and the services agreement sit under it. On price and dates, the statement of work wins. On who owns the software, the services agreement wins.
We install what the statement of work names. We test it on real inputs you provide. We hand you an operating note that says how it runs and who to write when it does not.
Name one person who can decide. Give the access the work needs. Answer within two business days. Pay the invoice on the date it states.
You are responsible for having the right to share any files, accounts, and customer data you give us.
02
Agents in Motion LLC owns the software it creates. That includes code, agents, prompts, workflows, tools, libraries, configurations we write, and improvements to any of those.
Who asked does not matter. A request from you, from a person at your company, from a vendor, or from us does not move ownership. Payment does not move ownership. A handoff, a login, or a copy of a file on your systems does not move ownership.
| Thing | Whose it is |
|---|---|
| Software we write | Agents in Motion LLC |
| Agents, prompts, workflows, tools | Agents in Motion LLC |
| Your data, accounts, and marks | You |
| Operating note for this job | You may keep it inside the business |
Agents in Motion LLC owns the software. Asking for it does not change that. You receive permission to run what you have paid for.
03
After you have paid for a statement of work, you may run the installed software in your own business. The permission is not exclusive, and you may not transfer it. It lasts while the fees for that work stay paid.
You may not sell, rent, sublicense, publish, or white-label the software. You may not remove ownership notices. Changing our software does not make it yours.
We may reuse the software, including for other clients. We do not reuse your confidential information, customer data, or marks when we do. We are not required to deliver source code unless the statement of work says we will.
Files, records, customer data, accounts, domains, credentials, and marks you already own stay yours. We use them only to do the work. We return or delete them when the job ends, except copies we must keep for accounting, tax, or a dispute.
Open-source components stay under their own licenses.
04
Unless the statement of work names another split, half the price is due before we start and half is due when we hand the work over. Invoices are due on receipt. If an invoice is still unpaid seven days later, we may pause until it is paid.
For fourteen days after handoff, we fix defects that stop the software from doing what the statement of work says. A new behavior is a new statement of work, or a written change both sides accept by email.
Either side may end a job on fourteen days’ written notice to mr.roboto@agentsinmotion.ai or to the client email on the statement of work. If you end before handoff, we keep the start payment and we do not bill the second half. Software we created stays ours. Permission to run software you have paid for continues under the services agreement.
We may say that we did the work, unless the statement of work says we may not. We will not publish your confidential numbers without a separate written yes.
